Terms of Engagement
The following terms apply to all services provided by Espriu Legal to its clients, unless otherwise specifically agreed.
Our client.
In each matter, the client will be the party identified as such in the engagement letter, unless expressly agreed otherwise.
Scope of services.
All matters are handled in accordance with applicable law and the professional rules of the Barcelona Bar Association. Our obligations and advice are provided exclusively to our client. We do not purport to be experts in every area of law; where we consider it necessary, we seek the advice of other lawyers or specialists on specific aspects of the matter.
Confidentiality.
The confidentiality of our clients’ information is essential to us. We do not disclose confidential information obtained in the course of an engagement unless authorised by the client or required by law.
Fees.
We charge reasonable fees based on the time devoted to and complexity of the matter, taking into account factors such as the expertise and responsibility required, time spent, the value and importance of the matter to the client, the number of documents prepared or reviewed, and urgency. Before accepting an engagement, we provide an indicative fee estimate; this does not constitute a fixed quote unless expressly agreed in writing. If we anticipate that the estimate will be substantially exceeded, we will notify the client and provide an updated estimate.
Other expenses.
In addition to our fees, we charge clients for expenses and disbursements incurred in connection with the matter, including court fees, registry fees, travel expenses, and the fees of agents or experts. We consult the client before incurring any significant or unusual expense.
Billing.
Unless otherwise agreed, we generally issue invoices monthly. Invoices must be paid within thirty days of the date of issue, by bank transfer to our account.
Conflicts of interest.
If a conflict of interest arises, we will notify the client and seek an appropriate solution. We will not accept or continue an engagement where doing so would involve acting against an existing client or disclosing confidential information obtained from that client.
Electronic communications.
Unless otherwise indicated, our written communications are electronic. We take reasonable security measures, although such communications are not free from risks beyond our control.
Data protection.
We process client data in accordance with applicable data-protection legislation, including the GDPR and the Spanish Data Protection Act (LOPDGDD). Clients may exercise their rights of access, rectification, erasure and any other rights provided by law at any time by contacting us at info@espriulegal.com.
File retention.
We retain case files for at least five years after the end of the engagement, after which they may be destroyed unless otherwise agreed in writing.
Termination.
The client may terminate the engagement at any time. We may do so in the circumstances provided for under the General Statute of the Spanish Legal Profession.
Governing law and jurisdiction.
These terms are governed by Spanish law and subject to the jurisdiction of the courts of Barcelona.
